Standard Terms & Conditions of Sale & Fabrication

Governing all precision machining, CNC fabrication, drill rod manufacture, and jobbing engineering services.

Dabres Precision Engineering (Pty) Ltd · Republic of South Africa

01. Formation of Contract & Quotations

All quotations issued by Dabres Precision Engineering (Pty) Ltd ("the Company") constitute invitations to treat and remain valid for a period of thirty (30) calendar days from date of issue, unless expressly stated otherwise in writing. Due to volatility in commodity raw materials (including alloy steels, brass, aluminum, and tungsten carbide tooling), quotations may be subject to revision prior to formal order placement.

A binding contract comes into existence only upon the Company's written acceptance of the Customer's Purchase Order (PO) or upon digital confirmation via the Dabaresa MES Client Portal.

02. Technical Drawings & Engineering Specifications

The Customer is solely responsible for the technical accuracy, completeness, and fitness-for-purpose of all blueprints, CAD models (DWG, DXF, STEP), dimensional drawings, and material specifications provided to the Company.

  • Standard engineering tolerances conform to ISO 2768-m (general tolerances for linear and angular dimensions) unless tighter custom tolerances are agreed in writing on the confirmed Job Card.
  • Any post-confirmation engineering change notices (ECN) requested by the Customer will result in an adjustment to agreed completion dates and may incur setup modification surcharges.

03. Quality Assurance, Inspection & Acceptance

The Company maintains strict internal quality assurance protocols. Finished machined components undergo pre-dispatch inspection against dimensional specifications.

The Customer must inspect all delivered or collected components within fourteen (14) business days of dispatch. Any claim for non-conformance, dimensional defects, or quantity discrepancy must be reported in writing to the Company within this 14-day window. In the absence of written objection, components shall be deemed definitively inspected, accepted, and approved.

04. Delivery, Risk & Retention of Title

Delivery timelines estimated on the Dabaresa MES schedule are indicative and provided in good faith. Risk of loss or damage transfers to the Customer upon physical handover at the Company's workshop or delivery to the Customer's nominated carrier against digital signature receipt.

Ownership of and title to all fabricated components shall remain with the Company until full payment of the invoice amount, including applicable VAT, has been cleared into the Company's designated bank account.

05. Limitation of Liability & Indemnity

To the fullest extent permissible by South African law, the Company's total aggregate liability arising out of or in connection with any defective component or breach of contract shall be strictly limited to the repair or replacement of the non-conforming part or a refund of the contract price paid for that specific component.

Under no circumstances shall the Company be liable for special, indirect, incidental, or consequential damages, including loss of production, plant downtime, lost profits, or third-party contractual penalties.

06. Governing Law & Jurisdiction

These terms and all contracts entered into with the Company shall be governed by and construed in accordance with the laws of the Republic of South Africa. The parties consent to the jurisdiction of the High Court of South Africa (Gauteng Local Division, Johannesburg) in respect of any legal proceedings arising hereunder.
